Quick Deal Review — Engagement Terms
Provider: Cutrer LLC, an Illinois limited liability company, Aurora, Illinois ("we", "us"). Client: the person or entity that orders and pays for a Quick Deal Review ("you"). Effective: on your payment or your submission of the intake form, whichever is first. Version: 1.0, 31 October 2026.
1. What you are buying
1.1 A Quick Deal Review is a time-boxed, desk-based review of one online-business listing that you identify, delivered as a single PDF report by email. The Standard tier ($249) covers listing claims versus evidence, traffic, revenue, content/IP, technical, legal/ownership, seller, an indicative valuation range, a red-flag score, a verdict, the questions to send the seller before a letter of intent, and a list of unverified claims. The SaaS+ tier ($599) adds a review of code-quality markers and subscription metrics (MRR, churn, cohorts) from access or exports you provide.
1.2 The review is based on (a) information publicly displayed on the listing at the data cut-off time stated in the report, (b) documents and access you forward to us, and (c) publicly available third-party tools and databases. We do not contact the seller unless you ask us to in the intake form.
1.3 The review covers one listing. A revised listing, a different listing, or a re-review after the seller provides new material is a new order.
2. What you are not buying
2.1 Not an appraisal. We are not licensed or certified business appraisers. The valuation range is an indicative opinion derived from published marketplace data and our adjustments, for your negotiating use only. It is not a valuation for lending, tax, litigation, insurance or financial-reporting purposes.
2.2 Not legal, financial, tax or investment advice. We are not attorneys, accountants, investment advisers or brokers, and nothing in the report creates such a relationship. Where the report mentions trademark, GDPR, tax or contract issues it is flagging a question for a licensed professional, not answering it.
2.3 Not an audit or verification of identity. We do not audit financial statements, verify the seller's identity, or confirm that documents you forward are genuine. Items we could not confirm at source are listed as "unverified" and remain your responsibility to verify.
2.4 Not a recommendation to buy or not to buy. The verdict (Proceed / Proceed with conditions / Walk away) summarises our view of the evidence at the cut-off time. The decision, the price and the contract are yours.
3. Your obligations
3.1 Independent verification. You agree to independently verify every item listed under "Unverified claims" and to obtain direct, read-only access to source systems (analytics, payment processors, ad networks, code repositories) before paying for any business.
3.2 Lawful access. You confirm that any documents or access you forward to us were obtained lawfully and with the seller's permission, and that you will not send us passwords.
3.3 Accuracy of intake. You are responsible for the accuracy of the information in your intake form, including the correct listing URL.
4. Turnaround
4.1 Standard delivery is within 48 hours of the clock start. The clock starts when we have received payment, a completed intake form and the listing URL, and have confirmed the order by email. Orders confirmed after 6 p.m. Central Time, or on a Saturday, Sunday or US federal holiday, start the clock at 9 a.m. Central Time on the next business day.
4.2 If we will miss the deadline for any reason, we will tell you before it passes and you may choose to wait or to cancel for a full refund.
5. Fees and payment
5.1 Fees are stated in US dollars and are payable in full in advance by the methods shown on the order page. Fees are not contingent on the content of the report or on whether you complete a purchase.
5.2 Third-party costs (for example, a paid trademark search or a paid data pull you specifically request) are quoted and approved by you in advance; none are included in the standard fee.
6. Refunds
6.1 Before the clock starts: full refund on request.
6.2 After the clock starts, before delivery: 50% refund if you cancel; full refund if we cancel or will miss the deadline (clause 4.2).
6.3 After delivery: no refund for the opinion expressed. If the report contains a material factual error about information that was publicly visible on the listing at the data cut-off (for example, we misread the asking price), we will correct and reissue the report free of charge within 2 business days; if we cannot correct it, we will refund the fee.
6.4 The seller changing the listing, withdrawing it, or selling to someone else is not grounds for a refund after the clock starts.
7. Confidentiality and use of the report
7.1 We keep your identity, your intake form and your documents confidential and use them only to prepare your report. We may retain a copy for our records for up to 3 years.
7.2 The report is prepared for you alone. You may share it with your own advisers and lenders. You may not resell it, publish it, or provide it to the seller or to other bidders without our written consent. We accept no responsibility to anyone else who relies on it.
7.3 With your permission (opt-in on the intake form) we may use an anonymised version of a report as a sample, with the listing name, URL, your name and identifying details removed.
8. AI-assisted, owner-reviewed
8.1 We use AI research and drafting tools to prepare the first pass of every report. The owner of Cutrer LLC reviews, edits and approves every report before it is sent, and is responsible for its contents. Every report carries the line "AI-assisted, owner-reviewed."
9. Limitation of liability
9.1 To the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with a Quick Deal Review, whether in contract, tort (including negligence), misrepresentation or otherwise, is limited to the fee you paid for that review.
9.2 We are not liable for any loss of profit, loss of opportunity, loss of the purchase price of any business, or any indirect or consequential loss, even if we were advised of the possibility of it.
9.3 Nothing in these terms excludes liability that cannot be excluded by law, including for fraud.
10. General
10.1 These terms, the intake form and the report together form the whole agreement for the engagement and replace any prior communication.
10.2 These terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Kane County or DuPage County, Illinois, and you consent to that jurisdiction. For claims under $10,000 either party may instead use small-claims court or binding online arbitration if both agree in writing.
10.3 If any clause is unenforceable, the rest remains in force. We may update these terms for future orders; the version in force when you paid applies to your order.
10.4 Questions about these terms: [email protected], Cutrer LLC, Aurora, Illinois.
By paying for a Quick Deal Review or submitting the intake form you accept these terms.
